Peter Z. Wang is the founder of Cenntro Automotive and has served as Chairman and Chief Executive Officer of CAG, Cenntro’s parent corporation since 2013 (prior to the Corporate Reorganization). Mr. Wang has served as a director of the Company since March 2020 and Chief Executive Officer since June 2020. Mr. Wang is a leading entrepreneur and investor in the electric vehicle and technology industries, and has founded or co-founded a number of companies in his career, including UTStarcom (a global telecom infrastructure provider), which went public in 2000, World Communication Group, an international telecommunication company, and Sinomachinery Group, a diesel power system (engine and transmission) manufacturer. Mr. Wang was named as one of the Outstanding 50 Asian Americans in Business by Asian American Business Development Center in 2004, one of China’s 100 Most Innovative Businessmen by Fast Company Magazine in 2017, and one of the Most Intriguing Entrepreneurs by Goldman Sachs in 2019. Mr. Wang is also the Chairman of the Board of Directors for Cenntro Enterprise Limited, a principal stockholder of the Company, and Greenland Technologies Holding Corp. (NASDAQ: GTEC), a transmission products manufacturing company. Mr. Wang holds Bachelor of Science degrees in Computer Science and Math as well as a Master of Science degree in Electrical Engineering, from the University of Illinois at Chicago. Mr. Wang also holds a Master of Business Administration from Nova Southeastern University. Upon consummation of the Corporate Reorganization, Mr. Wang intends to resign from his position as Chief Executive Officer of CAG. Mr. Wang’s extensive experience in the EV sector and his ability to lead companies from the initial vision to execution are valuable assets to Cenntro.
Yeung Heung Yeung has served on the Board of Directors of CAG, Cenntro’s parent corporation prior to the Corporate Reorganization, since August 2014, and has served as a director of the Company since June 2020. Upon completion of the offer, he is expected to serve on our nominating and corporate governance committee. Mr. Yeung has served as the Secretary of the Angel Investor Club of China since 2011. Mr. Yeung has founded or invested in numerous early-stage technology companies in fields such as biomedicine, healthcare and information technology. Mr. Yeung is the founder of Shenzhen Resources Investment & Development Co., Ltd. and has served as its President since its inception in 1994. He also served as the President of Shenzhen New Source Chemical Industry Co. Ltd. from 1994 to 2010. Mr. Yeung holds a Bachelor’s degree and a Master of Science degree in Applied Mathematics from Tsinghua University. We believe Mr. Yeung is qualified to serve on our Board of Directors due to his past directorship with CAG and his familiarity with the Company as a large, early stage investor, and his general experience with early-stage companies.
Joe Tong has served on our Board of Directors since June 2020. Upon completion of the offer, Mr. Tong is expected to serve on our audit committee, compensation committee and nominating and corporate governance committee. Mr. Tong co-founded MeetChina, a leading B2B e-commerce website for China in 1998 and served as its Chief Executive Officer and Director from 1998 to 2003. In 2007, Mr. Tong joined Testra Sensis as its President of China, and helped build Fang.com (NASDAQ: SFUN), a leading real-estate company website in China, and Autohome Inc. (NYSE: ATHM), a leading automotive company website. In 2016, Mr. Tong joined Ford Motor Company as its Head of Smart Mobility, China. Mr. Tong holds a Bachelor’s degree in Computational Mathematics from Nanjing University, and a Master of Business Administration in Finance and Strategic Marketing from the University of Pennsylvania’s Wharton School of Business. We believe Mr. Tong is qualified to serve on our Board of Directors due to his experience with business-to-business enterprises and expertise in the automotive industry.
Stephen Markscheid has been nominated to serve on our Board of Directors. Upon completion of this offer, Mr. Markscheid is expected to serve on our audit committee and compensation committee. Since February 2020, Mr. Markscheid has been serving as Chief Financial Officer of Childwise International LLC, a Chicago-headquartered company focusing on early childhood education and Chairman of Still Waters Green Technology, a UK-based renewable energy developer, since December 2019. Mr. Markscheid has also held multiple roles, including President, at NanoGraf Corporation, a Chicago-based developer of advanced materials since 2018, and is currently an advisor to the company’s Board of Directors. From 2014 to 2017, Mr. Markscheid was a partner at Wilton Partners. He currently also serves as an independent director of ZZ Capital International (HKEx: 08295) (since June 2016), Fanhua Inc. (NASDAQ: FANH) (since 2007), JinkoSolar Holding Co., Ltd (NYSE: JKS) (since 2009) and Xiaobai Maimai Inc. (f/k/a Hexindai) (NASDAQ: HX) (since September 2017). Mr. Markscheid serves on the audit committee of the Board of Directors at each of Fanhua Inc., Xiaobai Maimai Inc. and JinkoSolar Holding Co., Ltd. He had also served as the Director of Ener-Core, Inc. (OTCQB: ENCR), a California-based company focusing on renewable energy, from June 2016 to March 2020. From 2007 to 2011, Mr. Markscheid was CEO of Synergenz Inc., the U.S. subsidiary of a molecular diagnostic company. Mr. Markscheid holds a master’s degree in International Affairs from Johns Hopkins University, a Master of Business Administration from Columbia University, where he was class valedictorian, and a Bachelor of Arts degree from Princeton University. We believe he is qualified to serve on our Board of Directors due to his extensive managerial and entrepreneurial experience in investment banking and deep connections to the Asia Pacific market.
Chris Thorne has been nominated to serve on our Board of Directors. Upon completion of this offer, Mr. Thorne is expected to serve on our audit committee, compensation committee and nominating and corporate governance committee. Since 2005, Mr. Thorne has served as Chairman of the Board at Broadline Capital, a global private equity firm focused on growth capital and impact investments primarily in Asia and North America. Mr. Thorne has been the Chairman of the Board for Cytonus Therapeutics since November 2019, Endosphere, Inc. since December 2010 and has been the Chairman of the Board of Powermers, Inc. since January 2010. Mr. Thorne received his Juris Doctor from Harvard Law School with honors, Master of Business Administration from Harvard Business School with final year honors, and a bachelor’s degree from Harvard University, magna cum laude, where he founded the Harvard Negotiation Law Review and served as President of the university-wide student government. We believe Mr. Thorne is well qualified to serve on our Board of Directors due to his extensive expertise in substantial private equity and experience on the boards of multiple corporations.
